Coaching Terms and Conditions

These Terms and Conditions apply to all coaching programs, group programs, and digital products offered by 365 Days of Grateful as trustee for the Benjamin Edward Trust trading as ADHD Village, ABN 50 139 598 004 (referred to in these terms as 'ADHD Village', 'we', 'us', or 'our').

These Terms and Conditions are governed by the laws of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the courts of Victoria for any dispute arising under these terms.

These terms apply to the following offers:

  • 1:1 Coaching
  • Sparkle Club (group program)
  • One-off products and events (including but not limited to EOFY-Slay and The ADHD Village Hotline)

Where a term applies to a specific offer only, it is clearly labelled. All other terms apply to all offers.

These Terms and Conditions become binding when you agree to proceed with a purchase, make any payment, or access any part of a program or product.

1. Our Services

1.1 What ADHD Village offers

ADHD Village provides ADHD business coaching and related programs and products. Our services are delivered online via Zoom, WhatsApp, and email unless otherwise agreed in writing. We do not conduct phone calls unless expressly agreed in advance for specific circumstances.

1.2 Nature of coaching

ADHD Village provides business coaching services only. We are not a mental health service, medical service, counselling service, or therapy service. Nothing in our programs constitutes or replaces professional mental health support, medical advice, psychological treatment, legal advice, or financial advice.

If you are currently under the care of a mental health professional, we encourage you to inform them of your decision to participate in our programs.

ADHD Village has a process for responding to disclosures that fall outside the scope of coaching. If a situation arises during our work together that requires clinical support, we will refer you to appropriate services. We are not a crisis service and cannot provide emergency support.

1.3 Service delivery and related policies

Our programs are delivered online. If in-person delivery is agreed for any session, this will be confirmed in writing in advance.

We use AI tools in aspects of our business operations. For full details of how we use AI tools, please refer to our AI Use Policy available at adhdvillage.com.au.

2. 1:1 Coaching

2.1 What is included

Your 1:1 Coaching package includes the sessions and support as described in your service agreement or order confirmation. This includes weekly coaching sessions delivered via Zoom, WhatsApp support access, and any additional components specified at the time of purchase.

2.2 Session attendance

It is your responsibility to attend sessions at the agreed time. Our calendar booking system sends reminders to assist with this.

You must give at least 48 hours' notice to reschedule a session. We will make reasonable efforts to reschedule missed sessions within your program term but cannot guarantee availability. Unused sessions expire at the end of your agreed program term. No refund is available for unused sessions.

2.3 Program term

1:1 Coaching is offered as a 6- or 12-month engagement. Your program term commences on the date of your first session or the date agreed in your service agreement, whichever is earlier.

2.4 Cancellation — 1:1 Coaching

If you wish to cancel your 1:1 Coaching engagement, you must provide 30 days written notice to us. No refund is available for the current month's payment at the time of cancellation. You remain responsible for payment for the 30-day notice period. Sessions scheduled within the notice period will proceed as normal.

3. Sparkle Club

3.1 What is included

Sparkle Club is a group coaching program that includes:

  • Two private 60-minute coaching calls with Mel per month
  • Weekly live group implementation sessions (60 minutes each)
  • Access to a WhatsApp group with Mel and other Sparkle Club members

Sparkle Club is delivered entirely online. Access begins on the date your first payment is processed.

3.2 Fees

Sparkle Club is priced at AUD $440 per month including GST, billed monthly. Payment is processed via Stripe. By joining Sparkle Club, you authorise recurring monthly payments until you cancel in accordance with clause 3.3.

3.3 Cancellation — Sparkle Club

Sparkle Club is designed as a 6-to-12-month program. We recommend committing to a minimum of 6 months to experience meaningful results. However, you may cancel your membership at any time by providing 30 days written notice to us.

No refund is available for the month in which notice is given or any month already paid at the time notice is received. Your access to Sparkle Club continues until the end of the period covered by your final payment.

4. One-Off Products and Events

4.1 What these cover

This section applies to time-limited offers and single-purchase products including but not limited to EOFY-Slay and The ADHD Village Hotline.

4.2 Access and delivery

One-off products and events are delivered as described at the time of purchase. Specific session dates, formats, and inclusions will be confirmed in the product description or booking confirmation. Access to time-limited events is for the duration of the event only unless otherwise specified.

4.3 Refunds — one-off products

Refunds for one-off products and events are not available once purchase is made, except where required by Australian Consumer Law. If ADHD Village cancels or is unable to deliver a one-off product or event, a full refund will be provided.

5. Fees and Payment

5.1 Payment obligation

You agree to pay the fees for your chosen program or product in full and on time. This applies regardless of whether you attend all sessions or access all components of your program.

5.2 Payment method

Payment may be made by credit or debit card processed by Stripe, or by invoice where agreed in writing.

5.3 Instalment payments

Where payment by monthly instalments is agreed, your access to sessions and program components may be suspended if your account falls into arrears. Suspension does not extend your program term. Sessions that fall within a period of suspension remain your responsibility and will not be rescheduled or refunded.

5.4 Overdue payments

If any payment is dishonoured or remains unpaid, you will be liable for any reasonable costs incurred in recovering the debt, including bank dishonour fees and debt collection costs, to the extent permitted by applicable law.

6. Refunds and Australian Consumer Law

Our refund policy is set out in the relevant sections above for each offer type. Nothing in these Terms and Conditions excludes, restricts, or modifies any right or remedy you have under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.

Where a consumer guarantee applies under the Australian Consumer Law and we fail to meet that guarantee, your remedy may include a refund, replacement, or re-supply of the service. We will not charge you for remedying a failure that is not your fault.

7. Your Responsibilities

By purchasing any program or product from ADHD Village, you agree that:

  • You are responsible for your own physical, mental, and emotional wellbeing throughout the program.
  • You will engage with the program honestly and to the best of your ability.
  • You will communicate proactively if you are unable to attend a session or need to raise a concern.
  • You understand that results from coaching depend on your individual circumstances, effort, and engagement, and cannot be guaranteed.
  • You are responsible for your own decisions, choices, and actions arising from our coaching work together.

8. Confidentiality

8.1 Our confidentiality obligation to you

Information you share with us in the course of coaching is treated as confidential. We will not disclose your personal information, business information, or the content of our coaching sessions to any third party without your consent, except where required by law.

8.2 Your confidentiality obligation to us

Where you are given access to information about ADHD Village's business practices, processes, methods, or materials in the course of a program, you agree to treat that information as confidential and not disclose it to any third party.

8.3 Group program confidentiality

In group programs including Sparkle Club, other participants may share personal or business information. You agree to treat all information shared by other participants as strictly confidential and not to disclose, discuss, or share it outside the group.

9. Intellectual Property

All materials, frameworks, content, and resources created and provided by ADHD Village — including but not limited to the Bandwidth, Brains & Business™ Framework, session materials, and written resources — remain the intellectual property of ADHD Village.

You may use program materials for your own personal and business development only. You must not share, distribute, reproduce, or resell any program materials in whole or in part without our prior written permission. You must not use our materials to develop your own program, course, or training for sale or distribution.

10. Limitation of Liability

To the fullest extent permitted by law, and subject to your rights under the Australian Consumer Law:

  • Our total liability to you for any claim arising from a program or product is limited to the amount you have paid us for that program or product.
  • We are not liable for any indirect, consequential, or special loss or damage arising from your participation in our programs, including loss of profit or loss of opportunity.
  • We are not liable for the content, accuracy, or outcome of any third-party recommendations, referrals, or services we may mention in the course of our work together.

You agree to indemnify ADHD Village against any loss or damage suffered as a result of your breach of these Terms and Conditions.

11. Termination by ADHD Village

We reserve the right to terminate your participation in any program immediately if:

  • You behave in a way that is abusive, threatening, or disrespectful toward us or other participants.
  • You breach any term of this agreement, including confidentiality or intellectual property obligations.
  • We reasonably determine that continued coaching is not in your best interests or falls outside our scope of practice.

If we terminate your participation other than for breach, we will refund a proportionate amount of fees relating to the undelivered portion of your program. If we terminate due to your breach, no refund will be provided.

12. General

12.1 Governing law

These Terms and Conditions are governed by the laws of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the Victorian courts for any dispute arising under or in connection with these terms.

12.2 Assignment

Your program or product purchase is personal to you and may not be transferred or assigned to any other person without our prior written consent.

12.3 Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, that provision will be severed and the remaining terms will continue in full force and effect.

12.4 No waiver

Any failure by us to enforce a provision of these Terms and Conditions does not constitute a waiver of our right to enforce that or any other provision at a later time.

12.5 Entire agreement

These Terms and Conditions, together with your service agreement or order confirmation, form the entire agreement between us. Any prior discussions or representations not recorded in writing do not form part of our agreement.

12.6 Relationship of the parties

ADHD Village provides services to you as an independent business. Nothing in these Terms and Conditions creates an employment relationship, partnership, or agency between us.
